The reasons for establishing such cooperation are various, both for the clients and the contractor. Still, in comparison to the traditional ones, this type of business relationship can bear additional risks, and one of those risks is leaking confidential information about the client\u2019s company.<\/p><\/div><\/section><section class=\"av_textblock_section av-kk59h4i-86bdef1decbcf57c6d1793bd34733046\"><div class=\"avia_textblock\"><p>Individuals who provide services to companies without establishing an employment relationship with them are often called contractors. There is no literal translation of this word into Serbian, so in practice, you may often hear terms such as \u201cservice provider\u201d or \u201ccontractor\u201d. In order to prevent any misunderstandings with this linguistic ambiguousness, in this blog, the contractor is an independent individual who provides services, whether they are officially registered at the Serbian Business Registers Agency as an entrepreneur, or whether they offer services as natural persons(colloquially known as freelancers).<\/p><p>Lately (for various reasons), the term freelancer is brought up in the public more often, although, in tech-savvy circles, this kind of work engagement is known for a long time, and is even more dominant than the traditional employment relationship. The reason for this is the sudden development of tech businesses in the Serbian market, as well as the <a href=\"https:\/\/zuniclaw.com\/en\/new-list-of-occupations\/\">rapid increase in the number of independent IT professionals<\/a> (caused by the aforementioned development). As a result, we often see that besides formally employed individuals, there are a number of independent developers hired for certain projects or provision of particular services who are also working for the same company.<\/p><p>Same as with any other form of business cooperation, the relationship between the company and the independent contractor hired to work on particular projects is twofold, so its benefits and drawbacks can be looked at from two angles.<\/p><ul><li>By engaging contractors, <strong>IT companies <\/strong>can drastically increase their productivity and profit, since they achieve the most desirable effect by hiring independent IT professionals: new products and services are created and placed on the market but in a less costly and more efficient manner. The benefit, in comparison to establishing an employment agreement, is that the client does not have any financial obligations as they do with employees, such as payment of taxes and contributions, securing a place and means for work, payment of reimbursement for leave from work, and other things, which significantly reduce the operational expenses.<\/li><li>On the other hand, the <b>contractor is<\/b> more flexible since it is hired by multiple different clients, it is not \u201cbound\u201d to one company. This allows them to do business with multiple companies simultaneously. Those companies can even be each other\u2019s competitors (in which case, one should pay attention to the possible non-compete clause). Since, from the legal point of view, the contractor is often a registered entrepreneur, they can always perform their business activities independently, without acquiring the status of a formally employed individual.<\/li><\/ul><p>\u00a0<\/p><p>In addition, contractors are not obliged to provide their services to one company only, which leads us to the question: <strong>what stops the hired independent contractor from disclosing client\u2019s confidential information to third parties, and compromising their whole business<\/strong>?<\/p><p>We have already covered the topic of the <a href=\"https:\/\/zuniclaw.com\/en\/non-disclosure-agreements\/\">importance of NDAs<\/a>, but this time, we are highlighting another scenario, where an all-encompassing NDA concluded promptly will provide you with adequate protection and prevent various risks and dangers in which your company may end up.<\/p><\/div><\/section><div class=\"av-special-heading av-g99sss-167f12f0e77ba16f4d9cecfb93b1e945 av-special-heading-h2 custom-color-heading blockquote modern-quote modern-centered avia-builder-el-15 el_after_av_textblock el_before_av_textblock av-inherit-size av-linked-heading\"><h2>\u00a0<\/h2><h2 class=\"av-special-heading-tag\">Employee VS Independent Contractor (from the Aspect of Confidentiality)<\/h2><\/div><section class=\"av_textblock_section av-kk59h4i-86bdef1decbcf57c6d1793bd34733046\"><div class=\"avia_textblock\"><p>\u00a0<\/p><p>Since the introduction of the so-called <a href=\"https:\/\/zuniclaw.com\/en\/independent-contractor-test\/\">independent contractor test<\/a>, the expert community often brings up the criteria that are used to determine whether a natural person that works for a certain company is an independent entrepreneur who makes a profit from conducting business individually, in regards to the Personal Income Tax Law, or whether they are a de facto employee.<\/p><p>We have already written about the differences which the <a href=\"https:\/\/zuniclaw.com\/en\/independent-contractor-test-serbia\/\">Tax Administration takes into account when conducting the test<\/a>, but when it comes to concluding NDAs, they are formulated a bit differently. Thus, we are highlighting only a few of the most important differences between contractors and employees which are evident when this relationship is looked at <strong>from the aspect of confidentiality and protection of trade secrets<\/strong>.<\/p><\/div><\/section><div class=\"avia-image-container av-lj4yeuq-a8fd222cad940717039c5bb4dff50022 av-styling- avia-align-center avia-builder-el-17 el_after_av_textblock el_before_av_textblock \"><div class=\"avia-image-container-inner\"><div class=\"avia-image-overlay-wrap\"><img fetchpriority=\"high\" decoding=\"async\" class=\"wp-image-32589 avia-img-lazy-loading-not-32589 avia_image \" src=\"https:\/\/zuniclaw.com\/wp-content\/uploads\/2021\/05\/engleski.png\" sizes=\"(max-width: 1414px) 100vw, 1414px\" srcset=\"https:\/\/zuniclaw.com\/wp-content\/uploads\/2021\/05\/engleski.png 1414w, https:\/\/zuniclaw.com\/wp-content\/uploads\/2021\/05\/engleski-212x300.png 212w, https:\/\/zuniclaw.com\/wp-content\/uploads\/2021\/05\/engleski-728x1030.png 728w, https:\/\/zuniclaw.com\/wp-content\/uploads\/2021\/05\/engleski-768x1086.png 768w, https:\/\/zuniclaw.com\/wp-content\/uploads\/2021\/05\/engleski-1086x1536.png 1086w, https:\/\/zuniclaw.com\/wp-content\/uploads\/2021\/05\/engleski-1061x1500.png 1061w, https:\/\/zuniclaw.com\/wp-content\/uploads\/2021\/05\/engleski-498x705.png 498w\" alt=\"\" width=\"1414\" height=\"2000\" \/><\/div><\/div><\/div><section class=\"av_textblock_section av-kk59h4i-86bdef1decbcf57c6d1793bd34733046\"><div class=\"avia_textblock\"><p>\u00a0<\/p><p>Irrespective of the differences listed above, you should keep in mind the <strong>Law on Trade Secret Protection<\/strong>, which includes:<\/p><ul><li>commercial information,<\/li><li>the information which is not generally known or available to third parties who could realize economic benefit by using it,<\/li><li>information protected by adequate measures by the disclosing party,<\/li><li>the information which, if disclosed, could cause damage.<\/li><\/ul><p>\u00a0<\/p><p>Since the basis for keeping a trade secret defined in this way is a legal regulation, the obligation of confidentiality exists no matter the relationship between the individuals amongst whom the confidential information is transferred, so both relations that we mentioned above &#8211; the relation between client and contractor and the relation between the employer and employee &#8211; are covered with the abovementioned law.<\/p><p>However, since the list of confidential information often significantly surpasses the framework of legal definitions of trade secrets, it would be wrong to assume that only by relying on the law, without concluding an NDA, the company\u2019s confidential information is protected enough.<\/p><p>It is not difficult to conclude that, despite the numerous similarities between employees and independent contractors, their differences are the key thing one should pay attention to when drafting an NDA with either of the two. The contractor\u2019s independence can sometimes make the start of business cooperation and regulation of all related matters easier, while sometimes, the contractor\u2019s freedom may represent an additional concern for the company. Still, when establishing an employment relationship, one should take into account the nature of the cooperation, and be careful not to make some of the <a href=\"https:\/\/zuniclaw.com\/en\/nda-with-employees\/\">most common mistakes when drafting an NDA with employees<\/a>.<\/p><\/div><\/section><div class=\"av-special-heading av-l4cvrxfi-8b150cfd77e94c2bb8d009fbe145d219 av-special-heading-h2 custom-color-heading blockquote modern-quote modern-centered avia-builder-el-19 el_after_av_textblock el_before_av_textblock av-inherit-size av-linked-heading\"><h2>\u00a0<\/h2><h2 class=\"av-special-heading-tag\">What to Consider Before Entering into a Business Relationship with a Contractor?<\/h2><\/div><section class=\"av_textblock_section av-k870di1w-e2045090b0475bc0ddb40242603703e2\"><div class=\"avia_textblock\"><p>\u00a0<\/p><p>Although at first glance, it seems simpler and quicker than establishing an employment relationship, the cooperation between the company and the independent contractor is still not completely void of formalities: firstly, it is necessary to conclude <a href=\"https:\/\/zuniclaw.com\/en\/practice-areas\/commercial-contracts\/\">adequate agreements<\/a> which regulate the relationship between parties in detail, in order to prevent future disagreements between the parties.<\/p><\/div><\/section><div class=\"av-special-heading av-4436f8s-49b8ad6405d1eba98efaaa8f1416bd47 av-special-heading-h2 custom-color-heading blockquote modern-quote modern-centered avia-builder-el-21 el_after_av_textblock el_before_av_image av-inherit-size av-linked-heading\"><h2>\u00a0<\/h2><h2 class=\"av-special-heading-tag\">1. Independent Contractor NDA<\/h2><\/div><section class=\"av_textblock_section av-k870di1w-e2045090b0475bc0ddb40242603703e2\"><div class=\"avia_textblock\"><p>\u00a0<\/p><p>Unlike NDA with employees, the NDA you are drafting for the independent contractor will <strong>often <\/strong>be less detailed, if this is the nature of your relationship since it focuses on a particular project for which the contractor was hired.<\/p><p>Thus, it is not surprising that clients often decide on the less demanding option which is entering a confidentiality clause into their master service agreement with the contractor, without drafting and signing a separate NDA.<\/p><p>However, in practice, no matter the short-term nature of business cooperation, in most cases, complete protection of important information can be achieved only through a <strong>carefully drafted, all-encompassing NDA with the contractor<\/strong>.<\/p><p>Of course, the decision can only be made after a careful evaluation of the amount and type of information that will be shared with the contractor.<\/p><ul><li>In some cases, the nature of the services that the contractor will perform for your business won\u2019t require disclosing confidential data. <strong>For example<\/strong>, in case you hire someone outside of your company, to come up with a design for your new website, you probably won\u2019t be sharing financial or legal information with the contractor. On the contrary, in these cases, you will have the possibility to minimize the sharing of confidential information, so maybe you won\u2019t even need to conclude a separate NDA with the contractor, but a clause within the master agreement will do.<\/li><li>Still, when it comes to the IT industry, contractors are often hired in order to provide services such as software development, which requires you to disclose a number of confidential information. <strong>For example<\/strong>, if your source code is not publicly available (i.e., proprietary software as opposed to <a href=\"https:\/\/zuniclaw.com\/en\/open-source-code\/\">open-source<\/a>), it is clear that in those cases, drafting an NDA is mandatory. If you must reveal the source code, do not make a mistake and establish business cooperation with the contractor, without previously entering an NDA.<\/li><\/ul><\/div><\/section><div class=\"av-special-heading av-3gqqxpo-65369a2103f357072484141050de2439 av-special-heading-h3 custom-color-heading blockquote modern-quote modern-centered avia-builder-el-24 el_after_av_textblock el_before_av_textblock av-inherit-size av-linked-heading\"><h3>\u00a0<\/h3><h3 class=\"av-special-heading-tag\">What To Keep in Mind in Those Cases<\/h3><p>\u00a0<\/p><\/div><section class=\"av_textblock_section av-kk59h4i-86bdef1decbcf57c6d1793bd34733046\"><div class=\"avia_textblock\"><ul><li>If the definition of the information protected by the NDA does not encompass your source code, you are automatically losing the right to any type of protection, should the code be unlawfully revealed. So, don\u2019t forget to include source<strong> code in the definition of confidential information <\/strong>(and all other information that might be disclosed!)<\/li><li>Define the <strong>usage of confidential information that is allowed as precisely as possible<\/strong>. For example, if the contractor is hired to test software and track bugs, it is necessary to unambiguously foresee within the NDA that the usage of code that gets into the contractor\u2019s hands during those tasks is limited only to those particular tasks, i.e., services. Everything besides that would represent a violation of confidentiality.<\/li><li>It is also useful to foresee that <strong>keeping or multiplying the code is prohibited<\/strong>. Having in mind that the code is kept in electronic form, it can easily \u201cfall victim\u201d to the misuse of software and code, through numerous ways of unlawful handling, and your primary task is to stop that from happening.<\/li><li><strong>Returning all confidential information after<\/strong> the tasks for which the contractor was engaged is finalized \u2013 this step is crucial when it comes to confidentiality protection, and it is often forgotten in practice. So, don\u2019t forget to foresee in your NDA the contractor\u2019s obligation to return all information that they have acquired while working for you.<\/li><\/ul><p>\u00a0<\/p><p>All of the warnings we\u2019ve listed are equally important no matter what your confidential information consists of. So, it doesn\u2019t matter whether you are sharing a source code with the contractor or whether you give them access to the company\u2019s financial information: if the disclosure of such information can cause damage to you, do the right thing for your trade secrets, and conclude an NDA with your contractors.<\/p><\/div><\/section><div class=\"av-special-heading av-2wpmpt8-58c2e3047b02b98606ea7532de1ae35a av-special-heading-h2 custom-color-heading blockquote modern-quote modern-centered avia-builder-el-26 el_after_av_textblock el_before_av_image av-inherit-size av-linked-heading\"><h2>\u00a0<\/h2><h2 class=\"av-special-heading-tag\">2. Master Service Agreement with the Contractor<\/h2><\/div><section class=\"av_textblock_section av-k870di1w-e2045090b0475bc0ddb40242603703e2\"><div class=\"avia_textblock\"><p>\u00a0<\/p><p>A high level of autonomy of the client and contractor when regulating their relationship gives them the freedom to mutually choose the particular type of agreement that will regulate their cooperation.<\/p><p>The following agreements are most often found in practice:<\/p><ul><li>master-service agreement,<\/li><li>agreement on the provision of professional services,<\/li><li>agreement on the provision of consulting services, and similar agreements.<\/li><\/ul><p>\u00a0<\/p><p>However, no matter their title, there are several provisions that each agreement with a contractor must include in order to make the business relationship that is formed official, thereby not leaving the possibility for possible disagreements or different interpretation complications. Not only that but confidential information that is disclosed based on the agreement is often permeated through the whole agreement with the contractor, by which additional prevention is achieved, besides the separate NDA.<\/p><\/div><\/section><div class=\"av-special-heading av-2d14vxo-8baf471bccbd29cee247fd859c5ee18c av-special-heading-h3 custom-color-heading blockquote modern-quote modern-centered avia-builder-el-29 el_after_av_textblock el_before_av_textblock av-inherit-size av-linked-heading\"><h3>\u00a0<\/h3><h3 class=\"av-special-heading-tag\">Contractor\u2019s Independent Status<\/h3><\/div><section class=\"av_textblock_section av-kk59h4i-86bdef1decbcf57c6d1793bd34733046\"><div class=\"avia_textblock\"><p>\u00a0<\/p><p>One of the key reasons why it is necessary to formalize the business relationship with the contractor through a written agreement is to state that the contractor is hired exactly in that status- only as a contractor. This emphasizes the fact that the contractor is not employed by the employer, which removes any doubts in that regard.<\/p><\/div><\/section><div class=\"av-special-heading av-22k0xd8-37dac70cad7d3c1ab2b1f55e17bd6143 av-special-heading-h3 custom-color-heading blockquote modern-quote modern-centered avia-builder-el-31 el_after_av_textblock el_before_av_textblock av-inherit-size av-linked-heading\"><h3>\u00a0<\/h3><h3 class=\"av-special-heading-tag\">Detailed Description of Services<\/h3><\/div><section class=\"av_textblock_section av-kk59h4i-86bdef1decbcf57c6d1793bd34733046\"><div class=\"avia_textblock\"><p>\u00a0<\/p><p>The services that are expected from the contractor, besides being the central part of the agreement, have to be described in detail since, in order to perform those tasks, <strong>subcontractors<\/strong> are often hired. With the increased number of people working on the project, the danger of data \u201cleaking\u201d also increases, so the agreement has to encompass all potential individuals to whom the confidential information might be disclosed, in order to adequately define the obligation of confidentiality.<\/p><\/div><\/section><div class=\"av-special-heading av-l4cvuvac-0739e9bcb625c75e80d7cc08965faeb1 av-special-heading-h3 custom-color-heading blockquote modern-quote modern-centered avia-builder-el-33 el_after_av_textblock el_before_av_textblock av-inherit-size av-linked-heading\"><h3>\u00a0<\/h3><h3 class=\"av-special-heading-tag\">Terms and Payment<\/h3><\/div><section class=\"av_textblock_section av-kk59h4i-86bdef1decbcf57c6d1793bd34733046\"><div class=\"avia_textblock\"><p>\u00a0<\/p><p>It is clear that compensation and provision of services are the main reason why the agreement is concluded in the first place, and without those elements, the agreement wouldn\u2019t make any sense. Although these elements are not directly connected to data confidentiality, their violation in most cases leads to the termination of the agreement, which immediately activates the provision on confidentiality.<\/p><\/div><\/section><div class=\"av-special-heading av-1rdwre4-5065198de4134247e6c3e5936d44ac61 av-special-heading-h3 custom-color-heading blockquote modern-quote modern-centered avia-builder-el-35 el_after_av_textblock el_before_av_textblock av-inherit-size av-linked-heading\"><h3>\u00a0<\/h3><h3 class=\"av-special-heading-tag\">The Non-Compete Clause<\/h3><\/div><section class=\"av_textblock_section av-kk59h4i-86bdef1decbcf57c6d1793bd34733046\"><div class=\"avia_textblock\"><p>\u00a0<\/p><p>The non-compete clause is closely related to confidentiality since it is another effective mechanism that can raise the client\u2019s level of protection. In essence, the more precisely you define with whom your contractor can cooperate while working for you, the more successful your goal of keeping the confidentiality of important information will be.<\/p><\/div><\/section><div class=\"av-special-heading av-1bqbu5o-ed6a121bad71cb00e2c0017c2419a67f av-special-heading-h3 custom-color-heading blockquote modern-quote modern-centered avia-builder-el-37 el_after_av_textblock el_before_av_image av-inherit-size av-linked-heading\"><h3>\u00a0<\/h3><h3 class=\"av-special-heading-tag\">Termination of the Agreement<\/h3><\/div><section class=\"av_textblock_section av-kk59h4i-86bdef1decbcf57c6d1793bd34733046\"><div class=\"avia_textblock\"><p>\u00a0<\/p><p>No matter whether the agreement is terminated or expired, or whether the obligations which were agreed upon were fulfilled, it is important to state the consequences in case the agreement is ceased. It is extremely important to include the clause on confidentiality within the agreement with the contractor (and also within the separate NDA), and foresee that even in case the agreement is not in force, the confidentiality clause shall remain in force. This way you can be sure that your trade secrets shall remain secret, even if the agreement with the contractor ends sooner than expected.<\/p><\/div><\/section><div class=\"av-special-heading av-oba1kc-f88df548e10ff7395602c8aad0fb37f7 av-special-heading-h3 custom-color-heading blockquote modern-quote modern-centered avia-builder-el-40 el_after_av_textblock el_before_av_textblock av-inherit-size av-linked-heading\"><h3>\u00a0<\/h3><h3 class=\"av-special-heading-tag\">Intellectual Property<\/h3><\/div><section class=\"av_textblock_section av-kk59h4i-86bdef1decbcf57c6d1793bd34733046\"><div class=\"avia_textblock\"><p>\u00a0<\/p><p>What cannot be forgotten is that the legal presumption that <a href=\"https:\/\/zuniclaw.com\/en\/copyright\/\">work of authorship under employment<\/a> is in the employer\u2019s ownership, only applies to employees in terms of regulations in the field of labor law.<\/p><p>However, contractors are not encompassed by that rule, so it is crucial that in the agreement, you unambiguously state that everything the contractor creates based on the agreement with the client is in the client\u2019s full ownership.<\/p><p>As much as hiring an independent contractor sounds tempting because of the numerous advantages in comparison to the establishment of a traditional employment relationship, this type of business relationship can be a double-edged sword. It is easy to conclude that even the smallest incautiousness when regulating important matters, can lead to catastrophic consequences. It is exactly the lack of strict legal regulation in the relationship between the company and the independent contractor, that causes the need for caution of the company when entering this type of cooperation.<\/p><p>Thus, use all the advantages and possibilities your industry offers, but prior to that, don\u2019t forget to take all necessary precautions in order to safely sail into business cooperation with your contractors, without worrying that you shall end up with the short end the stick.
